iTechworld Affiliate Program — Terms and Conditions

Welcome to iTechworld! Thanks for joining our Affiliate Program.
These terms and conditions apply to individuals who are accessing or using the Program both as a merchant ("we", "us" or "Merchant") and an affiliate ("you" or "Affiliate") who refers customers to use a product or service from the Merchant.
By participating in the Program, the Affiliate agrees to use the Program in the manner specified in, and to be bound by, these Terms and Conditions. If you do not agree to these Terms and Conditions in their entirety you are not authorised to register as an Affiliate or participate in the Program in any manner.
1. Approval or Rejection of Registration
We reserve the right to approve or reject ANY Affiliate Program registration in our sole and absolute discretion. You will have no legal recourse against us for the rejection of your Affiliate Program registration.
2. Affiliate Links and Coupon Codes
Your affiliate link is generated automatically, and you can also generate an affiliate link for a specific product or collection. If a person clicks on someone else's referral link and then later clicks on yours, yours is the one that counts.
You may or may not be assigned a coupon code, with the details and usage rules shown on your Dashboard. If a customer both clicks your affiliate link and uses your coupon code, you will not receive a double commission. If you are not assigned a branded coupon code, you are not permitted to promote any coupon.
You may advertise the Merchant's website on online channels such as Facebook, Instagram and similar platforms, or through offline channels such as classified ads, magazines and newspapers, subject to clause 3 (Permitted and Prohibited Promotion).
3. Permitted and Prohibited Promotion
Your affiliate link and coupon code are issued to you personally, for use on channels you own or personally control — for example your own website, your own social media accounts, your own email list, your own podcast or video channel, or in direct conversation with people you know.
You must not, directly or indirectly:
- a. post, submit, upload or otherwise publish your affiliate link or coupon code on any website, app, forum, marketplace, group or page that you do not own or personally control. This includes (without limitation) coupon, deal and voucher aggregator sites, bargain forums and communities (including sites such as OzBargain), browser coupon extensions, cashback sites, classified sites, Reddit or Facebook groups you do not administer, review sites, and any similar third-party property;
- b. provide your affiliate link or coupon code to any third party for them to publish, distribute or resell;
- c. bid on, or purchase paid search, marketplace or social advertising using, "iTechworld", "iFROST", "Redback" or any of our brand names, product names, trade marks, or close misspellings or variations of them, or use them in an ad display URL or landing page domain, without our prior written consent;
- d. represent yourself as iTechworld, or as an employee, agent or official representative of iTechworld, or communicate with customers, suppliers or media on our behalf;
- e. make any claim about our products, pricing, availability, warranty, specifications or performance that is inaccurate, misleading or deceptive, or that we have not published ourselves;
- f. use spam, unsolicited email or SMS, misleading domain names, malware, cookie stuffing, forced clicks, iframes, pop-unders, automated traffic, bots, or any other method of generating clicks or orders that a customer has not genuinely and knowingly initiated;
- g. use your own code or link for your own purchases, or for purchases by your household, business or associates, unless we have agreed to this in writing (self-referral);
- h. resell iTechworld products purchased using your discount, or use your code to supply product to another reseller; or
- i. publish content that is unlawful, defamatory, discriminatory, obscene, or that damages the reputation of iTechworld or its brands.
Breach of clause 3(a) — placing your code or link on a website, app or page that you do not own — is a material breach of these Terms and entitles us to terminate your participation in the Program and any related agreement with you immediately, without notice, and to withhold and forfeit any unpaid commission connected with that breach. The same applies to any other material breach of this clause 3.
You must comply with the Australian Consumer Law, the Australian Association of National Advertisers (AANA) Code of Ethics and the ACCC's guidance on influencer disclosure. Where you have a commercial relationship with us, you must disclose it clearly and prominently in your content (for example "#ad", "paid partnership", or "affiliate link").
4. Commissions and Payment
4.1 New customer sales only
Commission is payable only on qualifying new customer sales. A sale is a "new customer sale" only where the purchasing customer has no prior order history with iTechworld at the time the order is placed.
A customer is not a new customer if, at the time of the order, our records show any previous completed order matched to that customer by any of: email address, phone number, billing or shipping address, payment method, or customer account. Where a customer with existing order history uses your link or coupon code, that order will generate no commission for you, even where the customer receives the discount attached to your code.
We determine new customer status from the records held in our Shopify store and affiliate platform, and that determination is final.
4.2 Commission rate
Commission is 5% of the qualifying order value for each new customer sale.
Order value is calculated on the product subtotal after any discount applied (including the discount attached to your coupon code) and excludes GST, shipping, insurance, surcharges, gift cards, extended warranties and any other fees. Commission is not payable on gift card purchases, on orders paid in whole or part with a gift card or store credit, or on any order placed through a wholesale, B2B, trade or staff account.
We may vary the commission rate or the qualifying criteria at any time by publishing updated terms or notifying you through the affiliate platform. Any change applies to orders placed after the change takes effect.
4.3 Payment
To receive commission you must enter your payment details in Settings. The payment schedule is set out on the Affiliate Guide page.
Payments will only be made for transactions that have been successfully completed. Use of the Affiliate Program is subject to a fair use policy which gives the Merchant the right to review each and every referral order. The status of commission is displayed in the Commission tab, and any paid commission is listed in the Payment tab.
Transactions that result in a chargeback, refund, return, cancellation or non-payment will not be paid out, and any commission already paid on such a transaction may be deducted from your future commission or recovered from you as a debt.
Commission amounts are inclusive of GST where you are registered for GST, and you are responsible for your own tax obligations, including declaring your commission income. Amounts are paid in Australian dollars.
A minimum payout threshold may apply as published on the Affiliate Guide page. Commission balances remain unpaid until that threshold is reached.
5. Marketing Tools
We may share promotional media such as banners, logos or specific collection promotions with you through the Marketing Tool tab. You can download the media or copy the HTML embed code in order to share it on your affiliate channels.
All trade marks, logos, product imagery, video and copy we supply remain our property or that of our licensors. You are granted a limited, non-exclusive, revocable licence to use them solely to promote iTechworld products under these Terms, and you must not alter, crop, recolour or misrepresent them. This licence ends immediately when your participation in the Program ends, and you must remove all such material from your channels.
6. Network
If the Network tab is activated, an Affiliate can invite others to become their downline affiliate. If a downline affiliate brings an order to the Merchant's shop, the upline affiliate will also receive network commission, which depends on the Merchant's settings. Network commission is subject to the same new customer requirement set out in clause 4.1.
To invite other affiliates into the system, share your network link. Any affiliate who clicks that link and signs up will become your downline affiliate.
7. Cookies and Tracking
We use a cookie to track people who have clicked on your link, so they need to be using cookies for us to track them.
If a person does not allow cookies, or clears their cookies, then we cannot track them and cannot pay earnings on that person's activity.
The cookie duration is stated on the Affiliate registration form. The tracking period starts from the time a customer clicks the Affiliate's link or uses the coupon code. Within the cookie period, orders made by that customer at the Merchant's website will be attributed to the Affiliate (the customer does not need to click the affiliate link again), subject always to the new customer requirement in clause 4.1.
We are not liable for tracking failures caused by browser settings, ad blockers, privacy tools, device changes or third-party platform behaviour.
8. Term, Termination and Removal from the Program
8.1 Termination for convenience
Either party may terminate the Affiliate's participation in the Program, and any related affiliate or ambassador agreement, for any reason or no reason, by giving 7 days' written notice to the other party. Written notice includes notice sent by email to the address held on the Affiliate's account, or to marketing@itechworld.com.au.
Notice is taken to have been given on the day it is sent, or on the next business day in Perth, Western Australia if it is sent after 5.00pm AWST or on a day that is not a business day in Perth. The 7 day period is counted from that day.
8.2 Immediate termination
We may suspend or terminate your participation immediately and without notice if you breach clause 3 (Permitted and Prohibited Promotion), engage in fraudulent, misleading or deceptive conduct, breach any law, or otherwise materially breach these Terms.
8.3 Voluntary removal
If you wish to be removed from the Affiliate Program, you may do so by contacting marketing@itechworld.com.au.
8.4 Effect of termination
On termination for any reason:
- your affiliate links and coupon codes will be deactivated and you must stop using them and remove them from your channels;
- you must stop using our trade marks, logos and supplied creative;
- commission properly earned on qualifying orders placed before the effective date of termination will be paid on the next scheduled payment run, subject to the minimum payout threshold and to clauses 4.3 and 8.5; and
- clauses 4.3, 5, 8.4, 8.5, 9, 10 and 11 survive.
8.5 Forfeiture
Where we terminate under clause 8.2, we may withhold and forfeit any accrued but unpaid commission, and recover any commission already paid, that relates to the conduct giving rise to the termination.
9. Relationship of the Parties
Nothing in these Terms creates an employment, partnership, joint venture, franchise or agency relationship between us. You are an independent contractor, responsible for your own tax, insurance and business costs, and you have no authority to bind us or incur any liability on our behalf.
10. Liability
To the maximum extent permitted by law, and other than for rights that cannot be excluded under the Australian Consumer Law, our total liability to you in connection with the Program is limited to the total commission paid or payable to you in the 6 months before the event giving rise to the claim. We are not liable for indirect or consequential loss, or for loss of profits, revenue, opportunity or goodwill.
You indemnify us against any claim, loss, damage or cost we suffer arising from your breach of these Terms, your promotional content or conduct, or your breach of any law.
11. Changes, Governing Law and General
We may amend these Terms at any time by publishing updated Terms or notifying you through the affiliate platform or by email. Continued participation in the Program after the change takes effect constitutes acceptance of the amended Terms.
These Terms are governed by the laws of Western Australia and the Commonwealth of Australia. Each party submits to the non-exclusive jurisdiction of the courts of Western Australia and the courts of appeal from them, and waives any right to object to proceedings being brought in those courts on the grounds of venue or inconvenient forum.
If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
